1. Introduction

These Terms of Use ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "your," or "Customer") and Inspect Genie ("Company," "we," "us," or "our"), concerning your access to and use of our AI-powered inspection management platform and related services (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Territorial Scope (United States & Canada Only): Inspect Genie currently markets, offers, and supports the Services solely within the United States and Canada. If you are located outside the United States or Canada, you should refrain from using the Services.

GDPR Disclaimer: Inspect Genie is not certified or fully compliant with the EU General Data Protection Regulation (GDPR) and does not intentionally target or market the Services to residents of the European Economic Area (EEA). If you are an EEA resident, please do not use our Services.

2. Definitions

• "Account" – The registered user account required to access and use the Services.

• "AI-Generated Content" – Any content generated by our AI platform based on user inputs or data.

• "Customer Data" – All electronic data, text, messages, personal data, or other materials submitted to the Services by you through your Account.

• "End User" – Any person or entity with whom you interact using the Services.

• "Order Form" – Any service order form specifying the Services subscribed to and the subscription term.

• "Personal Data" – Any information relating to an identified or identifiable natural person.

• "Services" – Inspect Genie's AI-powered inspection management platform, website, API, and any related services.

• "Subscription Term" – The period during which you have agreed to subscribe to the Services.

• "User" – Any individual designated within your Account, including administrators and other authorized users.

3. User Eligibility

The Services are intended only for access and use by individuals at least eighteen (18) years of age. By accessing or using any part of the Services, you warrant and represent that you are at least eighteen (18) years of age and have the full authority to enter into this agreement.

If you are entering into these Terms on behalf of an entity, you warrant that you possess the requisite authority to bind such entities to these Terms.

4. Description of Services

Inspect Genie offers a comprehensive AI-powered inspection management platform designed to streamline field inspections. Our Services include:

4.1 Core Features

• AI-Powered Data Capture: Automated processing of voice notes, images, and videos into structured reports

• Customizable Digital Checklists: Create and modify templates for different inspection types

• Offline Functionality: Capture data without internet connection with automatic syncing

• Real-Time Collaboration: Multi-user editing, commenting, and review capabilities

• Automated Scheduling & Reminders: Assign inspections and receive notifications

4.2 Documentation & Analytics

• Photo & Video Documentation: Attach annotated media to inspection steps

• Non-Conformance Tracking: Log, assign, and monitor corrective actions

• Live Dashboards & Analytics: Real-time insights into inspection status and compliance

• Automated Report Export: Generate reports in PDF, Word, or Excel formats

4.3 Integration & Mobility

• Cloud Storage & Access: Centralized data repository accessible from any device

• API Integration: Connect with existing business tools and workflows

• Barcode/RFID Support: Fast equipment identification and logging

• GPS & Time Stamping: Automatic location and time logging for traceability

5. Your Rights

Subject to your compliance with these Terms and during the Subscription Term, you have a limited, non-exclusive, revocable right to access and use the Services for your internal business purposes in accordance with your subscription plan.

6. Your Responsibilities

6.1 Account Management

• Your access is limited to the number of users specified in your subscription plan

• Each user must have unique login credentials

• You are responsible for maintaining account security and confidentiality

6.2 Acceptable Use

You agree not to:

• License, sublicense, sell, rent, transfer, or commercially exploit the Services

• Alter, hack, or attempt unauthorized access to the Services

• Use the Services to store or process sensitive personal information or Protected Health Information (PHI)

• Store or transmit data in violation of applicable laws

• Upload content that infringes intellectual property rights or is unlawful

• Introduce viruses, malware, or other harmful elements

• Use automated tools to scrape or extract data from the Services

6.3 Data Representation

You represent that you possess the rights to transmit Customer Data to us and that doing so does not violate any applicable laws or proprietary rights.

6.4 HIPAA Disclaimer

Inspect Genie is not a HIPAA-compliant service and should not be used to collect, store, or transmit Protected Health Information (PHI). If your organization is subject to HIPAA, you must not use the Services for PHI without first obtaining a separate written agreement confirming HIPAA compliance.

7. Subscription Terms and Billing

7.1 Subscription Charges

Charges for the Services are determined based on your chosen subscription plan and must be paid in advance. Current pricing is available on our website or in Order Forms.

7.2 Payment Terms

You authorize us to charge your designated payment method upon subscription and renewal. Unless otherwise stated, payment is due within thirty (30) days of invoice date.

7.3 Refund Policy

Unless specified in an Order Form, subscription charges are non-refundable. No refunds will be provided for partial or unused access to the Services.

7.4 Late Payments

If payment is not received by the due date:

• We will notify you and provide ten (10) days to remit payment

• Failure to pay may result in late fees of 1.5% per month, suspension of Services, and/or termination

7.5 Taxes

Subscription charges do not include applicable taxes. You are responsible for paying any taxes assessed by authorities.

8. Intellectual Property Rights

8.1 Our Rights

Except for the limited rights granted to you, all intellectual property rights in the Services remain exclusively owned by us.

8.2 Customer Data

You retain ownership of Customer Data you provide. We do not claim ownership but may use your feedback to enhance our Services.

8.3 AI-Generated Content

• We retain all rights in the AI platform and underlying technology

• You retain ownership of specific AI-Generated Content created through your use

• You grant us a non-exclusive license to use AI-Generated Content for service improvement

• You acknowledge AI-Generated Content may not always be accurate

9. Third-Party Services

Your use of third-party services integrated with our Services is subject to their terms and conditions. We are not liable for issues arising from third-party services or their handling of your data.

10. Trial Period

We may offer trial accounts for limited periods subject to these Terms. We reserve the right to terminate trial access at any time without notice or liability.

11. Term and Termination

11.1 Term

The subscription term is defined on our website or in applicable Order Forms.

11.2 Termination by You

You may terminate your Account if we materially breach these Terms, provided you give written notice and allow thirty (30) days for us to address the issue.

11.3 Termination by Us

We may suspend or terminate your access for:

• Violation of these Terms

• Non-payment of fees

• Business reasons, including service discontinuation

11.4 Effect of Termination

Upon termination, your access ceases and we will retain Customer Data for a designated retention period before deletion.

12. Confidentiality and Data Security

12.1 Confidentiality

You must keep user credentials confidential and not share them with third parties. We reserve the right to disable credentials if this requirement is breached.

12.2 Data Security

We employ appropriate technical and organizational measures to safeguard Customer Data. In the event of a data breach, we will notify you promptly.

12.3 Data Processing

Customer Data is processed solely to provide, maintain, or improve the Services. We act as a data processor and process personal data in accordance with applicable data protection laws.

13. Disclaimers and Limitations

13.1 Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

Our aggregate liability for any claims related to the Services will not exceed the amount of subscription charges paid by you during the twelve (12) months preceding the incident.

14. Indemnification

You agree to indemnify and hold us harmless from any claims brought by third parties arising from your breach of these Terms, provided we promptly notify you of such claims and you maintain control over the defense.

15. General Provisions

15.1 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.2 Amendment

We may amend these Terms from time to time with at least ten (10) days advance notice. Your continued use constitutes acceptance of updated Terms.

15.3 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States of America. Disputes shall be resolved through binding arbitration in Wilmington, Delaware (USA), administered by the American Arbitration Association.

15.4 Entire Agreement

These Terms, together with our Privacy Policy and any Order Forms, constitute the entire agreement between you and us.

15.5 Severability

If any provision is found unenforceable, the remaining provisions will remain in effect.

15.6 Force Majeure

We will not be liable for unavailability of Services caused by circumstances beyond our reasonable control.
